Purpose of the Meeting:

To approve constitutional amendments required for compliance with the Incorporated Societies Act 2022.

The Proposed New Constitution has been reviewed by JBMorrison Lawyers who have also written a document of material differences that provides explanation and clarity to the changes – both mandatory and suggested.

The Board passed a motion to adopt the Proposed New Constitution, at a meeting on 10 December 2025, and is recommending the membership also vote in favour.

Motion:

“To adopt the Proposed New Constitution of Natural Health Products NZ Incorporated.”


The Vote:

All Full Financial Members are entitled to attend and vote on the Proposed New Constitution.

Passing of a motion adopting the Proposed New Constitution requires a vote to be carried by not less than two thirds of the Full Financial Members of NHPNZ either present, or by proxy. 

The vote will be to fully adopt the Proposed New Constitution, i.e. a vote for the whole document, we will not be conducting clause by clause votes.


We encourage all Full Financial Members to attend this important meeting to ensure our Constitution meets current legal requirements.

Proxy Voting:

Full Financial Members unable to attend may appoint a proxy to vote on their behalf.  You are responsible for ensuring that your proxy attends the meeting and is aware of your voting intentions.
